Biographical Information

Neil R. E. Carr is a member of the firm focusing on corporate, corporate finance, registered and private securities offerings, public company reporting and compliance, stock exchange listings, insider trading, mergers, acquisitions, and other corporate transactions. Mr. Carr is A-V rated by Martindale-Hubbell and is listed in the Martindale-Hubbell™ Bar Register of Pre-eminent Lawyers for corporate and securities law.

Mr. Carr has extensive experience advising public companies in a wide range of industries regarding Securities Exchange Act public reporting, Securities Act registered and private offerings of securities, corporate governance, employee stock option and benefit plans, and employment law matters. Mr. Carr advises public company boards of directors, as well as their audit, compensation, nomination, corporate governance, and other board committees on fiduciary standards.

Mr. Carr has experience advising public and private companies and investment banks acting as underwriters or placement agents in connection with private and public offerings of equity and debt securities, including initial public offerings (IPOs), registered secondary and follow-on offerings, registered direct offerings, PIPE (Private Investment in Public Equity) transactions, and at - the - market securities offerings. Mr. Carr represents private and public companies in connection with complex corporate transactions, such as mergers and acquisitions, asset sales, joint ventures, spin - off transactions, reverse mergers. and international licensing transactions.

Mr. Carr advises private investment funds and hedge funds on their formation and regulation under the Securities Act and Investment Company Act.  He advises their investment advisors and managers on compliance and regulation under federal and state securities laws, including the Investment Advisers Act and state investment advisers acts.

Mr. Carr represents several United Kingdom, European and Asian companies doing business in the United States on corporate, corporate finance, employment law, and business-law related matters.  Mr. Carr has been a speaker at events sponsored by the U.K. Department of Trade and Industry on legal issues related to doing business in the United States.

Mr. Carr is admitted to practice in the District of Columbia and is a solicitor of the Supreme Court of England and Wales. He received a law degree with honors from the University of Keele, England, an LL.M. from The London School of Economics and Political Science, and a law degree from The National Law Center, George Washington University.

Mr. Carr is a member of the District of Columbia Bar, the Law Society of England and Wales, and a member of the American Bar Association's section on Business Law.
